These Terms of Service ("Terms") govern your access to and use of Trace Labs, Inc. ("Trace", "we", "us") and the AI search visibility platform at heytrace.ai (the "Service"). By accessing or using the Service you agree to these Terms. If you don't agree, don't use the Service.
To use the Service you may need to register an account. You agree to provide accurate information and keep it current. You're responsible for activity under your account and for safeguarding your credentials. You must be at least 16 years old to use the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:
Paid subscriptions are billed in advance on a monthly or annual basis as selected at checkout. All fees are non-refundable except where required by law. We may change pricing on prospective renewals with at least 30 days' notice. Failure to pay may result in suspension or termination of your access.
You retain ownership of any data you submit to the Service ("Customer Content"). You grant Trace a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Content solely as needed to provide the Service to you.
You represent that you have all rights necessary to submit Customer Content and that it does not violate any law or third-party right.
Trace and its licensors own all rights in the Service, including software, branding, and aggregated insights. We grant you a limited, non-exclusive, non-transferable right to access and use the Service per these Terms. No other license is granted by implication.
Feedback you provide may be used by us without obligation or compensation.
We aim for high availability but don't guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We will give reasonable notice of material adverse changes.
The Service queries public AI engines (ChatGPT, Perplexity, Gemini, Claude, AI Overviews, etc.) and may integrate with third-party tools you authorize. We are not responsible for those third parties' availability, accuracy, or terms. Your use of them is governed by their own terms.
You may cancel your subscription at any time from account settings. We may suspend or terminate your access if you breach these Terms, fail to pay, or for legal or security reasons. On termination, your right to use the Service ends, and we may delete Customer Content after a reasonable retention period.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI ENGINE OUTPUTS. AI engine results are inherently variable; we do not guarantee specific rankings, citations, or business outcomes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
You agree to indemnify and hold Trace harmless from any third-party claim arising out of (i) your use of the Service in violation of these Terms, (ii) Customer Content you submit, or (iii) your violation of any law or third-party right.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
Nothing in these Terms limits any non-waivable rights you have under applicable consumer law.
We may update these Terms from time to time. Material changes will be communicated by email or via the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
